General terms and conditions
B2B working draft for company valuation and digital dossier preparation. Version: 18.10.2026.
This English translation is provided for convenience. Only the German version is legally binding.
1. Scope and provider
FIRMWERT is aimed at companies and the persons authorised to represent them. The legally binding operating company must be stated in full in the legal notice and the offer before any paid engagement. Individual agreements take precedence over these terms.
2. Contract and remuneration
In the pilot there is no automatic paid conclusion of contract and no payment function. A paid order requires a specific offer and its acceptance. The scope of services, one-off price or monthly fee, taxes, due date, term and termination are expressly agreed there. Prices shown are concept prices; the monthly cancellability shown must be confirmed in the offer.
3. Services and limits
Digital capture, document structuring, scenario calculation and review coordination are provided to the agreed extent. Calculated indications are not professionally signed expert opinions. There is no entitlement to financing, a rating, a company acquisition, an investment, a particular company value or recognition by banks or investors. These make their own review and business decisions.
4. Cooperation and data quality
The customer supplies complete, traceable and lawfully usable data covering at least three consecutive financial years. Annual financial statements and any available BWA/SuSa must be prepared with an evidenced normalisation bridge. For the reviewed dossier, the actual audit reports, proof of licensing and signatures of the recognised statutory auditor, with scope and date, are required. A BWA alone does not replace audited annual financial statements. Missing data, limitations and assumptions are disclosed.
5. Independent professional review
Review engagement, professional licence, independence, valuation purpose, valuation date and standard used are specifically documented. A reference to a standard alone does not establish conformity. External reviewers act only after a separate engagement; consulting firms named are not automatically involved partners.
6. Confidentiality and prospects
Not an open marketplace for company documents. Banks, investors, management consultancies, prospective buyers or other third parties receive only specifically approved documents for the designated purpose. This requires a separate, documented declaration by the authorised company representative, verified proof of authority to represent and a documented confidentiality undertaking. The legal bases under data protection law and any transfer abroad are additionally reviewed. Agreement to the Terms alone is not sufficient.
7. Approval, term and withdrawal
Recipients, document versions, purpose and expiry date must be recorded. Changes require a new declaration. The release remains voluntary and can be revoked with effect for the future; internal processing without a prospect release remains possible. Copies already received cannot be technically retrieved; upon revocation, recipients must be requested, in accordance with the agreed rules, to cease use and, where applicable, to delete them. Mandatory retention obligations remain in place. No external access is opened yet in the pilot.
8. Responsibility and liability
Both parties act with the agreed care. Errors and security incidents must be reported without delay. Statutory liability applies; liability for intent, gross negligence or other mandatorily protected claims is not excluded. Specific service and liability agreements require legal review in the individual engagement.
9. End of the engagement and data
Export and deletion are specified in the engagement. Before any deletion, the required approval and review records must be secured. When an engagement is deleted, the current pilot also deletes its approval logs. Before production operation, statutory retention, blocking instead of deletion, and backups must be regulated bindingly.
10. Applicable law
Swiss law is to be agreed for the future B2B contract, insofar as permissible. The place of jurisdiction and the exact contracting party will only be specified in the binding offer. Mandatory provisions remain unaffected. This working draft does not replace an individual review by a lawyer.
